A rental contract is a legally binding agreement between a landlord and a tenant that defines the conditions under which a property is rented. A properly drafted rental contract generally specifies the duration of the lease, the amount of rent, payment conditions, security deposit obligations, maintenance responsibilities, termination rights, and the consequences of breach by either party. In practice, a well-structured rental contract also includes clauses relating to property use, repairs, liability, subletting restrictions, and dispute resolution mechanisms.

In Thailand, a rental contract is primarily governed by the Civil and Commercial Code (CCC), particularly Sections 537 to 571 relating to hire of property. Under Thai law, a rental contract is enforceable once the parties validly agree on the essential terms of the lease. However, certain long-term rental contracts may require registration with the Land Department to ensure full legal enforceability against third parties. For example, a lease exceeding three years must generally be registered pursuant to Section 538 of the CCC.

A poorly drafted rental contract may create significant legal uncertainty. Ambiguous clauses regarding rent adjustments, early termination, damage responsibilities, or renewal conditions frequently lead to disputes between landlords and tenants. In some situations, provisions that contradict Thai public order principles or mandatory legal protections may be considered unenforceable under Sections 150 and 151 of the CCC.
